1. Definitions

• You grant NextLogic a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your User Content solely as necessary to provide and improve the Services and to comply with law.
• You represent that you have all rights necessary to submit the User Content and grant the license above.
• We may remove or disable access to User Content that violates these Terms or law.

The Services, including their design, text, graphics, logos, software, and other materials, are owned by or licensed to NextLogic and are protected by copyright, trademark, and other intellectual property laws. Except for the limited rights expressly granted to you under these Terms, no rights are granted, and all rights are reserved.

7. Fees & Subscriptions (If Applicable)

Access to certain features may be subject to fees pursuant to an order form, statement of work, or separate agreement. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and payable according to the invoicing terms. We may suspend or terminate access for non-payment.

The Services may contain links to or integrate with third-party websites, software, or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and disclose personal data in accordance with the Singapore Personal Data Protection Act (PDPA) and other applicable laws.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTLOGIC AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) SGD 500.

You agree to indemnify and hold harmless NextLogic and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your (a) use of the Services, (b) violation of these Terms, or (c) infringement of any third-party rights.

We may suspend or terminate your access to the Services at any time if we reasonably believe you have breached these Terms, violated applicable law, or pose a risk to the Services or other users. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive termination.

We may modify the Services and these Terms from time to time. We will post updated Terms on this page with a new “Last updated” date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising out of or relating to these Terms or the Services.

16. Miscellaneous

• These Terms constitute the entire agreement between you and NextLogic regarding the Services and supersede any prior agreements on the subject.
• If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Failure to enforce a provision is not a waiver of our right to do so later.
• You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
